These Terms of Service (the "Terms") govern access to and use of RadiusMD.Ai’s software, websites, applications, AI-assisted reporting tools, workflow automation features, and related services (collectively, the "Services"). By creating an account, clicking to accept, placing an order, or using the Services, you agree to these Terms on behalf of yourself and the legal entity you represent.
If you are accepting these Terms for a hospital, clinic, radiology practice, physician group, or other organization, you represent that you have authority to bind that organization. In that case, "Customer," "you," and "your" mean that organization and its authorized users.
If you use the Services in connection with Protected Health Information, the HIPAA Business Associate Agreement below is incorporated into these Terms and becomes effective automatically upon your acceptance of these Terms or use of PHI-enabled Services, whichever occurs first.
1. Acceptance and Scope
These Terms apply to all use of the Services, including trial, free, paid, enterprise, and pilot use. Additional ordering terms, subscription terms, order forms, or written agreements may also apply. If there is a conflict between these Terms and an order form or signed services agreement, the signed agreement controls to the extent of that conflict.
2. Clinical Use and Professional Responsibility
RadiusMD.Ai is intended to assist with medical reporting and workflow efficiency. The Services do not replace independent medical judgment, physician supervision, or clinical review.
- You remain solely responsible for reviewing, validating, editing, approving, and signing all reports, impressions, findings, recommendations, and clinical documentation before use in patient care.
- You are responsible for the accuracy, completeness, and appropriateness of any source material, prompts, screenshots, OCR regions, templates, and instructions submitted to the Services.
- RadiusMD.Ai does not independently diagnose patients, order treatment, or make final clinical decisions.
4. HIPAA Business Associate Agreement
For any Customer that is a Covered Entity or Business Associate under HIPAA and that creates, receives, maintains, or transmits Protected Health Information through the Services, the HIPAA Business Associate Agreement at /business-associate-agreement is incorporated into and forms part of these Terms.
By accepting these Terms, the Customer identified in the applicable account, subscription, order form, or billing profile agrees to the HIPAA Business Associate Agreement. The effective date of that agreement is the date the Customer first accepts these Terms or first uses the Services for PHI-related workflows, whichever occurs first.
If there is any conflict between the HIPAA Business Associate Agreement and these Terms with respect to Protected Health Information, the HIPAA Business Associate Agreement controls.
5. Data, Security, and Privacy
You retain responsibility for the legality of the data you submit and for configuring your workflows to avoid unnecessary disclosure of sensitive information. RadiusMD.Ai will maintain reasonable administrative, physical, and technical safeguards appropriate to the nature of the Services.
Use of personal information is also governed by the Privacy Policy. If you require PHI processing restrictions, data residency commitments, or specific security terms, those requirements must be stated in the applicable order form or written agreement unless already addressed by the HIPAA Business Associate Agreement.
6. AI Output and Product Limits
AI-generated output may be incomplete, inaccurate, or unsuitable for a particular clinical situation. You are responsible for evaluating all output before reliance or downstream use.
- Do not treat generated content as a substitute for physician review.
- Do not rely on the Services as an emergency system or fail-safe system.
- Do not use the Services in a manner that would require guaranteed error-free output.
7. Disclaimer of Warranties
Except as expressly stated in a signed written agreement, the Services are provided "as is" and "as available." RadiusMD.Ai disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.
8. Limitation of Liability
To the maximum extent permitted by law, RadiusMD.Ai will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business interruption, arising out of or relating to the Services.
Except for obligations that cannot be limited by law or that are expressly governed by a separate signed agreement, RadiusMD.Ai’s aggregate liability arising out of or relating to these Terms will not exceed the amounts paid by Customer to RadiusMD.Ai for the Services during the twelve months preceding the event giving rise to the claim.
9. Suspension and Termination
RadiusMD.Ai may suspend or terminate access to the Services if necessary to address security risk, non-payment, unlawful use, or material breach of these Terms. You may stop using the Services at any time, subject to any active subscription commitment.
10. General Terms
- These Terms, together with any applicable order forms, subscription terms, the Privacy Policy, and the HIPAA Business Associate Agreement, form the complete agreement between the parties regarding the Services.
- These Terms may be updated from time to time by posting a revised version on the site. Continued use after the effective date of updated Terms constitutes acceptance of the updated Terms.
- If any provision is unenforceable, the remaining provisions will remain in effect.
